Terms of Service

1. Acceptance of Terms

By accessing or using Merno at merno.ai (the “Website”) or the Merno Chrome Extension (the “Extension”), collectively the “Service,” you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of Service

Merno is an AI-powered achievement tracking platform. You log workplace accomplishments, and Merno uses AI to transform your notes into polished, review-ready narratives. The Service includes a web application, a Chrome browser extension, third-party integrations, email digests, team management features, and review cycle automation.

3. Accounts

You must create an account to use most features of the Service. You are responsible for maintaining the security of your account credentials. You agree to:

  • Provide accurate and complete registration information
  • Keep your password secure and not share it with others
  • Notify us promptly of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

4. Free and Paid Plans

Merno offers a free tier and a paid Pro plan. Details of each plan are described on our pricing page.

  • Free plan — core achievement tracking, AI narratives, weekly digests, browser extension, and review generation.
  • Pro plan — includes everything in Free plus integrations (Slack, HubSpot, Salesforce), team management, manager dashboards, and review cycle automation.

Pro plan subscriptions are billed per seat on a monthly basis through Stripe. You can manage your subscription, update payment methods, and cancel at any time through the Stripe Customer Portal accessible from your Settings page.

Refunds are handled on a case-by-case basis. Contact us at support@merno.ai for refund requests.

5. Your Content

You retain ownership of all text and data you submit to the Service (“Your Content”). By submitting content, you grant Merno a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you.

AI-generated narratives, summaries, and review documents produced by the Service based on Your Content are provided for your personal and professional use. You may use, modify, and share these outputs as you see fit.

You agree not to submit content that:

  • Violates any applicable law or regulation
  • Infringes on the intellectual property rights of others
  • Contains malicious code, spam, or harmful material
  • Includes confidential information of others without authorization

6. AI-Generated Content

Merno uses Anthropic's Claude API to generate narratives. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI-generated content before using it in professional settings such as performance reviews.

We do not guarantee that AI-generated content will be error-free, complete, or suitable for any particular purpose.

7. Third-Party Integrations

The Service allows you to connect third-party services such as Slack, HubSpot, and Salesforce. When you authorize an integration:

  • You authorize Merno to access specific data from that service on your behalf
  • Your use of the third-party service remains subject to that service's own terms and privacy policies
  • You can disconnect any integration at any time from your Settings page
  • We are not responsible for the availability, accuracy, or security of third-party services

8. Teams

Pro plan subscribers can create teams and invite members. As a team manager:

  • You are responsible for the billing of all seats in your team
  • You can view individual achievement details for team members, including AI-generated narratives, original text, categories, and activity status
  • You can generate 1:1 preparation talking points and review cycle documents based on team member achievement data

Team members should be aware that their manager has full visibility into their achievement data as described in our Privacy Policy.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to reverse-engineer, decompile, or disassemble the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Resell, sublicense, or redistribute access to the Service
  • Use the Service to build a competing product

10. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Merno and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

11. Termination

You may stop using the Service at any time. You can cancel your Pro subscription through the Stripe Customer Portal. We may suspend or terminate your account if you violate these Terms, with notice when practicable.

Upon account deletion, we will delete your data within 30 days, except where we are required to retain it by law.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. AI-generated content is provided for informational purposes and should be reviewed before use in professional contexts.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERNO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We may revise these Terms from time to time. We will notify you of material changes by updating the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
